Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Overwall LLC, a Delaware limited liability company ("Overwall," "Company," "we," "us," or "our"), governing your access to and use of the Overwall website, applications, and related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
1. Description of Service
Overwall provides a secure network proxy and tunneling service designed to enhance internet privacy, security, and accessibility. The Service routes your internet traffic through encrypted tunnels via proxy servers operated by or on behalf of Overwall. The Service is provided on a subscription basis and is subject to bandwidth, device, and usage limitations as defined by your selected plan.
2. Eligibility
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. By creating an account, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and truthful. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. User Accounts
To access the Service, you must create an account by providing a valid email address. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us at support@overwall.app of any unauthorized use of your account. Overwall shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
4. Subscriptions and Payments
4.1 Billing
The Service is offered on a recurring subscription basis. Subscription fees are billed in advance on a monthly or annual cycle depending on the plan you select. All fees are quoted in US Dollars (USD) unless otherwise stated. You authorize Overwall (via our third-party payment processor, Stripe) to charge your designated payment method for all applicable fees.
4.2 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@overwall.app.
4.3 Refunds
We may, at our sole discretion, offer refunds on a case-by-case basis. Refund requests must be submitted within seven (7) days of the original charge. Overwall is under no obligation to issue refunds and reserves the right to deny any refund request. Partial-month or partial-year refunds are not provided for cancelled subscriptions.
4.4 Price Changes
We reserve the right to modify our pricing at any time. Any price change will take effect at the start of your next billing cycle following notice of the change.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated herein by reference. You agree that you will not use the Service for any purpose that is unlawful or prohibited by these Terms or any applicable law. You are solely responsible for ensuring that your use of the Service complies with all applicable local, state, national, and international laws and regulations.
6. User Responsibility for Legal Compliance
YOU ACKNOWLEDGE AND AGREE THAT IT IS YOUR SOLE RESPONSIBILITY TO DETERMINE WHETHER YOUR USE OF THE SERVICE IS LAWFUL IN YOUR JURISDICTION. Laws regarding the use of VPNs, proxies, and internet circumvention tools vary by country and region. In certain jurisdictions, the use of such tools may be restricted, regulated, or prohibited.
Overwall makes no representation or warranty that the Service is appropriate or available for use in any particular jurisdiction. You access the Service at your own risk and are responsible for compliance with local laws. Overwall disclaims any and all liability arising from your use of the Service in contravention of applicable laws.
7. Intellectual Property
The Service, including all software, code, design, text, graphics, logos, and other content, is the exclusive property of Overwall LLC and is protected by copyright, trademark, and other intellectual property laws of the United States and international treaties. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of any software.
8. Termination
8.1 Termination by You
You may cancel your subscription and terminate your account at any time. Cancellation takes effect at the end of the current billing period.
8.2 Termination by Overwall
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if: (a) you breach any provision of these Terms or the Acceptable Use Policy; (b) we are required to do so by law; (c) we reasonably believe your account is being used for illegal activity; or (d) we decide to discontinue the Service in whole or in part.
8.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 9, 10, 11, 12, 13, and 14.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. OVERWALL SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, OVERWALL MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE SERVICE WILL BE AVAILABLE IN ANY PARTICULAR GEOGRAPHIC LOCATION; (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
OVERWALL DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY APPLICATION, CONTENT, OR SERVICE ACCESSED THROUGH THE SERVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OVERWALL LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE; (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) ANY LEGAL CONSEQUENCES YOU MAY FACE AS A RESULT OF USING THE SERVICE IN YOUR JURISDICTION; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT OVERWALL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OVERWALL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO OVERWALL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Overwall LLC and its members, managers, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms, the Acceptable Use Policy, or any applicable law; (c) your violation of any rights of a third party; or (d) any content you transmit through the Service. This indemnification obligation shall survive the termination of these Terms and your use of the Service.
12. Dispute Resolution and Arbitration
12.1 Informal Resolution
Before filing a formal dispute, you agree to first contact us at support@overwall.app and attempt to resolve the dispute informally for at least thirty (30) days.
12.2 Binding Arbitration
If the dispute cannot be resolved informally, you and Overwall agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware, United States, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
12.3 Class Action Waiver
YOU AND OVERWALL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Overwall agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not preside over any form of a representative or class proceeding.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Overwall agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware for the purpose of litigating any such dispute.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Legal Disclaimer, constitute the entire agreement between you and Overwall regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
14.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Overwall's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without Overwall's prior written consent. Overwall may freely assign these Terms without restriction.
14.5 Force Majeure
Overwall shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, government action, network or infrastructure failures, internet censorship, sanctions, or natural disasters.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of this page and, where practicable, by notifying you via email. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
